Terms of Service

These Terms govern your use of the ElevAIte CRM website, advisor calls, voice agent demos, market insight forms, and SMS / email communications.

Welcome to https://elevaitecrm.com (the "Site"). These Terms of Use ("Terms") are made between you and ElevAIte CRM ("Company", "we", "us", or "our") and govern your use of and access to the Site and any products, materials, and services provided through it (collectively, the "Services").

Acceptance

By accessing or using the Services (or by clicking "accept" or "agree" when prompted), you agree to these Terms on behalf of yourself or the entity you represent. If you do not agree, you may not use the Services and must exit the Site immediately.

Eligibility

To use the Services, you must be (i) at least 18 years old, (ii) a resident of the United States, Canada, or the United Kingdom, and (iii) not a competitor of ElevAIte CRM, or using the Services for purposes competitive with ElevAIte CRM. By using the Services, you represent and warrant that you meet these requirements and have the authority to agree to these Terms on your own behalf or on behalf of the entity you represent.

Changes to These Terms

We may change these Terms from time to time at our sole discretion. Except for changes made for legal or administrative purposes, we will provide reasonable advance notice before changes become effective. Continued use of the Services after a change takes effect means you accept the change. We recommend you review this page periodically.

Changes to the Services

The Services may change as we evolve, refine, or add features. We may modify, withdraw, or discontinue all or part of the Services at any time without notice. We have no liability to you or any third party for any losses caused by the Services being unavailable.

Account

You may be required to register for an account to access certain features. You agree to provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You should exit your account at the end of each session and use extra caution when accessing your account from a public or shared computer.

Notify us immediately of any actual or suspected unauthorized use of your account. We will not be liable for losses arising from your failure to comply with this requirement. You may be held liable for losses incurred by us or any third party due to someone else using your account or password.

We may suspend or terminate your account at any time in our sole discretion, including for any violation of these Terms.

Acceptable Use

You may use the Services for lawful purposes only and in accordance with these Terms. You agree not to:

  • Violate any applicable laws or regulations (including intellectual property, privacy, or publicity laws) or any contractual obligations.
  • Send unsolicited or unauthorized advertising, promotional materials, spam, junk mail, chain letters, or similar communications.
  • Impersonate others or misrepresent your affiliation with any person or entity.
  • Exploit or harm minors in any way, including exposing inappropriate content or obtaining personally identifiable information.
  • Upload, display, or transmit material that does not comply with the Content Standards below.
  • Harass or interfere with anyone's use or enjoyment of the Services.
  • Use any device, software, or routine that interferes with the proper working of the Services or creates an undue burden on our infrastructure.
  • Scrape, copy, monitor, or harvest data from the Site by automated means, other than public search engine indexing.
  • Upload viruses, worms, Trojan horses, logic bombs, or other malicious code.
  • Attempt to gain unauthorized access to the Services, breach security, or interfere with the security of any server, computer, or network connected to the Services.
  • Reverse engineer, decompile, or attempt to obtain the source code of the Services.
  • Collect, harvest, or assemble data about other users without their consent.
  • Assist, permit, or encourage others to do any of the above.

Voice Agent Recordings

If you initiate a call with the voice agent demo on the Site, your call audio and a transcript of the conversation may be recorded and processed by us and our service providers for the purpose of providing the demo, monitoring quality, and improving the service. By initiating a call with the voice agent, you consent to this recording. You may end the call at any time. If you would prefer not to be recorded, do not initiate the voice agent demo and instead contact us by another method listed below.

Geographic Restrictions

ElevAIte CRM is based in the United States. The Services are intended for use by persons located in the United States. By accessing the Services from any other location, you accept full responsibility for compliance with local laws. We make no representation that the Services or any of their content are appropriate or available outside the United States.

Intellectual Property

All intellectual property rights — including copyrights, trademarks, trade secrets, and patents — in the Services and their content, features, and functionality (collectively, the "Content") are owned by ElevAIte CRM, its licensors, or other providers, and are protected by U.S. and international law. Neither these Terms nor your access to the Services transfers any right, title, or interest in such intellectual property. Any rights not expressly granted are reserved.

During the term of these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use and access the Content for business or commercial purposes consistent with these Terms. This license terminates upon your cessation of use of the Services or at the termination of these Terms. You may not:

  • Copy, reproduce, publish, display, transmit, or distribute any part of the Content except as expressly permitted.
  • Modify, create derivative works from, translate, adapt, decompile, or reverse engineer the Content.
  • Sell, license, sublicense, transfer, assign, rent, lease, host, or otherwise exploit the Content or Services.
  • Delete or alter copyright, trademark, or proprietary notices.
  • Use the Content to build a similar or competitive website, product, or service.
  • Use any retrieval system to compile a database or collection of the Content.

Trademark Notice

All trademarks, logos, and service marks displayed on the Services belong to ElevAIte CRM or third parties. You may not use them without the prior written consent of their respective owners.

User Content

If you submit content to the Services — including form submissions, comments, or feedback ("User Content") — you are solely responsible for it. All User Content must comply with the Content Standards below. User Content you post will be considered non-confidential and non-proprietary.

You grant ElevAIte CRM an irrevocable, non-exclusive, royalty-free, transferable, perpetual, worldwide license to reproduce, distribute, publicly display, prepare derivative works of, and otherwise use and exploit your User Content in connection with the Services and our business, including for promoting and redistributing the Services. You represent that you have all rights necessary to grant this license.

Content Standards

User Content must not:

  • Violate any applicable laws or regulations or any contractual or fiduciary obligations.
  • Promote any illegal activity or create any risk of harm, loss, or damage to any person or property.
  • Infringe any copyright, trademark, patent, trade secret, moral right, or other intellectual property right.
  • Contain defamatory, abusive, threatening, harassing, hateful, obscene, or otherwise objectionable material.
  • Promote sexually explicit material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
  • Contain information that is false, intentionally misleading, or likely to deceive any person.
  • Imply that it is sponsored or endorsed by ElevAIte CRM when it is not.

Monitoring and Enforcement

We reserve the right, but are not obligated, to (i) take any action with respect to any User Content we deem necessary in our sole discretion, including reporting violations to law enforcement; (ii) remove or reject any User Content for any reason; (iii) disclose User Content or your identity to satisfy any law, regulation, or government request, or to protect our rights or property; or (iv) terminate or suspend your access to all or part of the Services for any reason.

Copyright Infringement (DMCA)

We respect intellectual property rights and will terminate the accounts of repeat infringers. To report copyright infringement, send a DMCA notice including:

  • A physical or electronic signature of the copyright owner or authorized representative.
  • Identification of the copyrighted work claimed to have been infringed.
  • Identification of the allegedly infringing material and its location on the Services.
  • Your contact information (address, phone, email).
  • A statement of good faith belief that the use is unauthorized.
  • A statement, under penalty of perjury, that the information is accurate and you are authorized to act on the copyright owner's behalf.

Misrepresentations may subject the complaining party to liability under 17 U.S.C. § 512(f).

SMS / Messaging Terms

If you opt in to SMS communications, you may receive appointment confirmations and links, account information, product information, marketing messages, help requests, web chat widget responses, and opt-in / opt-out confirmations.

Message and data rates may apply. You can cancel the SMS service at any time by texting STOP to the shortcode. Upon sending STOP we will confirm your unsubscribe status via SMS, after which you will no longer receive SMS messages from us. To rejoin, sign up as you did initially.

For help, reply HELP for assistance or contact us at nhockley@elevaitecrm.com. Carriers are not liable for delayed or undelivered messages.

Feedback

If you provide ElevAIte CRM with any feedback or suggestions regarding the Services ("Feedback"), you assign all rights in that Feedback to us, and we may use it in any manner we deem appropriate. We treat all Feedback as non-confidential and non-proprietary. You agree not to submit anything you consider confidential or proprietary.

No Reliance

Information presented on or through the Services is made available for general information purposes only. We do not warrant the accuracy, completeness, suitability, or quality of any such information. Any reliance on such information is at your own risk.

Privacy Policy

For information about how we collect, use, and share your information, please review our Privacy Policy. By using the Services you consent to the collection, use, and sharing of your information as set forth in the Privacy Policy.

Termination

We may suspend or terminate your access to or rights to use the Services at any time, for any reason, in our sole discretion, and without prior notice, including for any breach of these Terms. Upon termination, your right to access and use the Services will immediately cease. We will have no liability whatsoever to you for any suspension or termination.

Upon termination, any provisions that by their nature should survive — including intellectual property ownership, warranty disclaimers, and limitations of liability — will remain in full force and effect. Termination may involve deletion of your User Content from our databases.

Disclaimers

The services are provided on an "as-is" and "as-available" basis. Use of the services is at your own risk. To the maximum extent permitted by applicable law, the services are provided without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, or non-infringement.

Without limiting the foregoing, ElevAIte CRM and its licensors do not warrant that the content is accurate, reliable, complete, or correct; that the services will meet your requirements; that the services will be available at any particular time or location, uninterrupted, error-free, or secure; that any defects or errors will be corrected; or that the services are free of viruses or other harmful components.

We will not be liable for any loss or damage to your computer system, mobile device, data, or other property that may result from your use of the services. We do not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the services or third-party links.

Some jurisdictions do not allow the exclusion of implied warranties, so the above may not apply to you. If applicable law requires any warranties with respect to the services, all such warranties are limited in duration to ninety (90) days from the date of first use.

Limitation of Liability

To the fullest extent allowed by applicable law, in no event shall ElevAIte CRM or its affiliates, licensors, service providers, employees, agents, officers, or directors be liable to you or any third party for any damages of any kind, under any legal theory, arising out of or in connection with your use or inability to use the services, any third-party link, or any content on the services, including without limitation any loss of use, revenue, profit, business, savings, data, goodwill, or diminution in value, or for any consequential, incidental, indirect, exemplary, special, or punitive damages, whether arising out of breach of contract, tort (including negligence), or otherwise, regardless of whether such damage was foreseeable and whether or not ElevAIte CRM has been advised of the possibility of such damages. Your sole remedy for dissatisfaction with the services is to stop using the services.

Some states do not allow the exclusion or limitation of certain damages, so the above may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless ElevAIte CRM and its affiliates, officers, directors, employees, agents, successors, and permitted assigns from any and all losses, claims, actions, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your breach of these Terms or your use or misuse of the Services, including any actions taken by a third party using your account. We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of laws principles. Any action or proceeding arising out of or relating to these Terms or the Services shall be brought only in a state or federal court located in Adams County, Pennsylvania. You irrevocably submit to the jurisdiction of these courts and waive any defense of inconvenient forum.

At ElevAIte CRM's sole discretion, any dispute, claim, or controversy arising out of or relating to these Terms — including the breach, termination, enforcement, interpretation, or validity thereof — may be required to be submitted to and decided by a single arbitrator under the rules of the American Arbitration Association in Adams County, Pennsylvania. The decision of the arbitrator shall be final and binding on the parties and may be entered and enforced in any court of competent jurisdiction. The prevailing party shall be awarded reasonable attorneys' fees, expert witness costs, and all other costs and expenses incurred in connection with the proceedings.

All arbitrations shall proceed on an individual basis. You may bring claims in arbitration only in your individual capacity. You waive the right to a trial by jury and to assert or participate in a class action or any joint or consolidated proceeding. If a court decides that applicable law precludes enforcement of any of these limitations as to a particular claim, that claim must be severed and brought in court.

Time Limit on Claims

Any cause of action or claim you may have arising out of or relating to these Terms or the Services must be commenced within one (1) year after the cause of action arose; otherwise, the cause of action is permanently waived and barred.

Export Compliance

The Services may be subject to U.S. export control laws and regulations. You agree to abide by these laws (including the Export Administration Act and the Arms Export Control Act) and not to transfer any materials from the Services to a foreign national or destination in violation of such laws.

Miscellaneous

Our failure to enforce any right or provision of these Terms will not be deemed a waiver. If any provision is found to be invalid or unenforceable, the remaining provisions remain in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and ElevAIte CRM regarding the Services and supersede any prior agreements.

You may not assign your rights or obligations under these Terms without our prior written consent; any purported assignment in violation is void. ElevAIte CRM may freely assign its rights and obligations.

No agency, partnership, or joint venture is created between you and ElevAIte CRM by these Terms. Headings are for convenience only and do not affect interpretation.
